General Terms of Sale

These General Terms of Sale ("GTS") govern all sales of products and services by Guaeca SASU ("Seller," "we," "our," or "us") to customers ("Buyer," "you," or "your").

1.2 Acceptance

By placing an order or purchasing our products/services, you acknowledge that you have read, understood, and agree to be bound by these GTS.

1.3 Modifications

We reserve the right to modify these GTS at any time. Updated terms will be posted on our website and will apply to all subsequent orders.

2. Products and Services

2.1 Description

We offer software tools and services for requirement engineering, including but not limited to:

  • Greq - Requirements Engineering Platform
  • Vibespec - Specification Validation Tools
  • G.E.T - Guaeca Engineering Toolkit
  • Consulting and professional services

2.2 Availability

Product and service availability may vary. We reserve the right to discontinue or modify offerings at any time without prior notice.

2.3 Technical Requirements

Customers are responsible for ensuring their systems meet the technical requirements for our products and services.

3. Pricing and Payment

3.1 Prices

All prices are displayed in the currency specified on our website and are exclusive of applicable taxes unless otherwise stated.

3.2 Payment Methods

We accept payment through Stripe and other payment processors as indicated during the checkout process. Payment is due immediately upon order placement.

3.3 Credit System

Some services operate on a credit-based system. Credits are valid for one (1) year from the date of purchase and are non-transferable.

3.4 Taxes

Customers are responsible for all applicable taxes, duties, and fees related to their purchases.

4. Orders and Delivery

4.1 Order Confirmation

Orders are confirmed upon successful payment processing. You will receive an email confirmation with order details.

4.2 Digital Delivery

Digital products and services are delivered electronically. Access credentials or instructions will be provided via email or through your account dashboard.

4.3 Delivery Timeframes

Digital products are typically delivered immediately upon payment confirmation. Custom services may have longer delivery timeframes as specified in the order.

5. Refunds and Cancellations

5.1 Refund Policy

Due to the digital nature of our products, we generally do not offer refunds. All sales are final unless otherwise required by applicable law.

5.2 Exceptional Circumstances

Refunds may be considered in exceptional circumstances, such as technical issues that prevent product usage. Such requests must be submitted within 30 days of purchase.

5.3 Service Cancellation

Ongoing services may be cancelled at any time. Unused credits or prepaid amounts are generally non-refundable.

6. Intellectual Property

6.1 License Grant

Upon payment, we grant you a limited, non-exclusive, non-transferable license to use our products and services in accordance with the applicable license terms.

6.2 Restrictions

You may not copy, modify, distribute, sell, or lease any part of our products or services, nor may you reverse engineer or attempt to extract the source code.

6.3 Customer Data

You retain ownership of any data you input into our systems. We process such data in accordance with our Privacy Policy.

7. Warranties and Disclaimers

7.1 Limited Warranty

We warrant that our products and services will perform substantially in accordance with their documentation under normal use conditions.

7.2 Disclaimer

Except as expressly stated, our products and services are provided "as is" without warranties of any kind, either express or implied.

7.3 Limitation of Liability

Our total liability for any claim related to these GTS or our products/services shall not exceed the amount paid by you in the 12 months preceding the claim.

8. Support and Maintenance

8.1 Support Services

We provide support services as described in the product documentation or service agreement. Support may be limited based on your subscription level.

8.2 Maintenance

We may perform scheduled maintenance on our systems. We will attempt to provide advance notice of planned maintenance when possible.

9. Governing Law

9.1 Applicable Law

These GTS are governed by French law. Any disputes shall be subject to the jurisdiction of French courts.

9.2 Language

In case of discrepancies between different language versions of these GTS, the French version shall prevail.
